1. Acceptance of Terms

By accessing or using Lucira (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Zumi Studios (“we,” “our,” or “us”), the operator of Lucira.

2. Description of Service

Lucira is a task management application designed to help developers organize work, track tasks, manage projects, and improve productivity. The Service includes:

• Task creation, organization, and management
• Project tracking
• Calendar and Kanban views
• Cross-device synchronization
• AI-powered standup report generation
• Integration with third-party services

3. Account Registration

To use Lucira, you must create an account. When registering, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

You must be at least 13 years old to create an account. If you are under 18, you represent that you have your parent’s or guardian’s permission to use the Service.

4. Payments

Lucira is a paid service. By using the Service, you agree to the following:

Billing

• Fees are billed in advance on a monthly or annual basis
• Payments are processed securely through our payment provider, Polar
• All fees are non-refundable unless otherwise stated

Cancellation

• You may cancel at any time
• Cancellation takes effect at the end of the current billing period
• You will retain access until the end of your paid period

Price Changes

We reserve the right to modify prices. We will provide at least 30 days’ notice before any price increase takes effect. Continued use after the price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use Lucira only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated systems or software to extract data from the Service (scraping)
• Resell, sublicense, or commercially exploit the Service without authorization

6. Your Content

You retain ownership of all content you create within Lucira, including tasks, projects, and other data (“Your Content”). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service.

You are responsible for Your Content and represent that you have the rights to submit it. We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service.

7. AI Features

Lucira includes AI-powered features, such as automated standup report generation. By using these features, you acknowledge that:

• Task data may be processed by our AI providers to generate summaries
• AI-generated content is provided “as is” and may require review and editing
• You are responsible for reviewing AI-generated output before sharing it
• We do not guarantee the accuracy or completeness of AI-generated content

8. Intellectual Property

The Service, including its design, features, code, and branding, is owned by Zumi Studios and protected by intellectual property laws. Nothing in these Terms grants you rights to use our trademarks, logos, or branding without prior written consent.

9. Third-Party Services

Lucira integrates with third-party services to provide its functionality. Your use of these integrations may be subject to additional terms and privacy policies from those providers. We are not responsible for the availability, accuracy, or content of third-party services.

10. Service Availability

We strive to provide a reliable Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable because of maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.

11. Limitation of Liability

To the maximum extent permitted by law, Zumi Studios and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Termination

We may suspend or terminate your access to the Service at any time for a violation of these Terms or for any other reason at our discretion. Upon termination:

• Your right to use the Service will immediately cease
• You may request an export of Your Content within 30 days of termination
• We may delete Your Content after 30 days

You may terminate your account at any time by contacting us or using the account settings in the application.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the “Last updated” date at the top of this page
• Notify you via email or through the Service
• Provide at least 30 days’ notice before changes take effect

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
